General

We may revise these terms at any time by updating these pages and you should check these pages regularly to review the current terms as by making continued use of our site the updated terms will be binding on you. These terms of website use are governed by and shall be construed in accordance with English law and any disputes relating to them will be subject to the exclusive jurisdiction of the courts of England and Wales.

These terms will continue to apply at all times while you make use of our site in whatever capacity.

We will endeavour to keep disruptions to a minimum, however, we will not be liable in any circumstances if for any reason our site or any or all of our services is unavailable at any time or for any period. We restrict access to certain areas of our site, to current members or guests of our online club.

If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these terms or our membership terms.

You are responsible for making all arrangements necessary for you to have access to our site and our services. You are not permitted to allow any other persons to access our site through your internet connection and if any other person accesses our site and / or uses our services through your internet connection you will be responsible for any failure to comply with these terms, the membership terms and the acceptable use policy by those persons.

Membership Application & Eligibility

Membership of the online club is by approval to individuals aged 18 or over and who are either:

(a) Existing full members of The Hospital's London Club; or

(b) Non-members of the Hospital but who are currently working in the creative industries in London; and

And all applicants must expressly accept our terms and conditions, the acceptable use policy and the privacy policy.

You may apply to become a member of the online club by filling out the application form posted on this website. Membership of the online club is subject to the terms of this website use agreement, the acceptable use policy and the privacy policy.

All applications must expressly accept these terms of website use, the acceptable use policy and the privacy policy. To join the online club you have to be approved by our membership committee before the application is approved and an invitation to join our online club does not guarantee that the membership committee will approve your application for membership, we therefore reserve the right to reject all applications for membership at our sole discretion.

By using this website in any capacity, you expressly accept the terms of this website use agreement, the acceptable use policy and the privacy policy. By using this website you warrant to us that you are over 18 and that you have the right, authority and capacity to agree to and to abide by this website use agreement, the acceptable use policy and the privacy policy. Full access and privileges to this website are included free of charge to members of The Hospital Club. However, we reserve the right to introduce fee for use of the online service by members of the online club or members of The Hospital Club in future.

Transfer

You are not permitted to sell, transfer or attempt to transfer your membership or guest access to our online club nor are you permitted to allow any third party to make use of your access privileges via your internet connection.

We may transfer or assign our rights in the site, the online club and / or any of the services we provide through the site at any time and without restriction.

Acceptable Use

When using our site and our services, you must comply with the provisions of our acceptable use policy.

This section shall remain in effect after termination of any online club membership.

Non-Commercial Use

This site and our services are for personal use and may not be used for any commercial purposes save as we may expressly allow in this website use agreement or the acceptable use policy . Organisations, companies and / or businesses may not become members of our online club without our prior written permission.

Illegal and / or unauthorised use of our site, including collecting usernames and / or e-mail addresses by electronic or other means for the purposes of sending unsolicited email and unauthorised framing of or linking to the site is prohibited.

Unless we have previously given you our written permission to do so or unless it is in accordance with these terms, you are not entitled to use the site or our services to make commercial advertisements or other forms of solicitation on our site.

This section shall remain in effect after termination.

Intellectual Property Rights In The Site & Materials Published By Us & Others

We are the owner or the licensee of all intellectual property rights in our site and our services, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

You may print off one copy, and may download one-time only extracts, of any page(s) from our site for your personal reference only.

You must not make any further copies or nor must you modify the paper or digital copies of any materials you have printed off or downloaded in any way without our express written permission, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any member of the online club or guest or other visitor to our site, or by anyone who may be informed of any of its contents.

Uploading Material To Our Site

Whenever you make use of a feature or service that allows you to upload material to our site, or to make contact with other members or users of our site, you must comply with the content standards set out in our acceptable use policy . You warrant that any such contribution does comply with those standards, and you indemnify us for any breach of that warranty.

In respect of any material you upload to our site or which you otherwise reproduce via our services, you warrant that you have the rights to upload or otherwise reproduce such material. You must not upload or otherwise reproduce any proprietary information in relation to which you do not have the prior written consent of the owner of the proprietary rights. You must indemnify us for any breach of this warranty.

In relation to any material you upload to our site, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable (through multiple tiers) right to exercise the copyright, trade marks, database rights and all other intellectual property rights you have in the material, in any media known now or in the future. In addition, you waive all moral rights you have in the content to the fullest extent permitted by law. (We need these rights to host and display your content to other members).

Without limitation to the foregoing, if you believe that your work has been copied or posted on the site or through the services in a way that constitutes a copyright infringement, please contact us at queries@thehospitalclub.com and we will investigate.

We also have the right at our reasonable discretion to disclose your identity to any third party who is claiming that any material posted or uploaded by you to our site constitutes a violation of their intellectual property rights, or of their right to privacy.

You acknowledge that information contained in your Profile and via our interactive services are public and not private, and therefore may be read by others without your knowledge, please see our privacy policy for more information about your personal information and the options you have.

We have the right to remove any material or posting you make on our site if, in our opinion, it breaches any of these terms or if such material does not comply with the content standards set out in our acceptable use policy.

(b) Any liability for any direct, indirect or consequential loss or damage incurred by any user in connection with your membership of the online club, our site or our services or in connection with the use, inability to use, or results of the use of our site or our services, any websites linked to it and any materials posted on it, including, without limitation any liability for:

(c) loss of income or revenue;

(d) loss of business;

(e) loss of profits or contracts;

(f) loss of anticipated savings;

(g) loss of data;

(h) loss of goodwill;

(i) wasted management or office time; and

(j) for any other loss or damage of any kind, however arising and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable.

If you contract with another member or other third party advertiser on our site you are solely responsible for that contract including, without limitation, arranging for and collecting payment and the exchange of goods and services purchased (if applicable), and for the results and performance of any contract you have entered into. We are not responsible or liable for any action or inaction of any party to a transaction, for any failure to perform, or pay any amounts due, or to deliver any goods or services as promised, or for any other aspect of the transaction.

You agree to indemnify and hold us, our subsidiaries, affiliates, officers, agents and other partners and employees harmless from any loss, liability, claim or demand (including legal fees) made by any member or other third party due to or arising our of your entering into or breaching a contract with another member or third party.

The provisions of this section will remain in force after termination of any online club membership.

Virus, Hacking and other Offences

You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our site will cease immediately.

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any material posted on it, or on any website linked to it.

Termination

You may terminate your membership of our online club at any time for any reason, by contacting a member of The Hospital online team who will delete your account on behalf of The Hospital Group Ltd.

We may terminate your membership of our online club effective upon sending notice of termination to you.

You may terminate your membership of our online club by giving us written notice.

Your membership of the online club will automatically cease when your membership of The Hospital's London Club expires without renewal or where it is terminated by you or by us, for any reason whatsoever. Termination - Other Circumstances

We may terminate your membership of the online club and / or restrict your access to the site or some or all of the services provided by us without prior notice to you in the following circumstances:

(a) where we consider (in our sole discretion) that you are abusing the site, the services or other members or guests of the club or where you are otherwise acting in breach of the this website use agreement or the acceptable use policy ;

(b) where there is a regulatory or statutory change limiting the ability to provide access to the site or the services;

(c) where there is an event beyond our reasonable control preventing us from providing access to the site or the services; or

(d) where we determine that it is no longer economically viable for us to continue to provide the site or the services.

If we terminate your membership of our online club in the circumstances described in paragraph (a) above we reserve the right at our sole discretion to terminate your membership of The Hospital's London club (if applicable).

Even after your membership of the online club is terminated or you cease using this website, certain provisions of this website use agreement, the acceptable use policy and the privacy policy will remain in effect.

General

Any failure or delay by us in enforcing compliance with this website use agreement, the acceptable use policy or the privacy policy shall not be a waiver of that or any other provision of this website use agreement, the acceptable use policy or the privacy policy If any provisions of this website use agreement, the acceptable use policy or the privacy policy is deemed unlawful, void or for any reason unenforceable then that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining terms of this website use agreement, the acceptable use policy or the privacy policy.

A person who is not a party to this website use agreement has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of terms of this website use agreement, the acceptable use policy or the privacy policy, but this does not affect any right or remedy of a third party specified in those documents or which exists or is available apart from that Act.

The headings in this website agreement are for reference purposes only and do not limit the scope or extent of this website agreement. The provisions of this section will remain in force after termination of any online club membership.

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
